Corporate Governance

Corporate governance refers to the practices that companies adopt in the strategy and management of their day-to-day business. It is thus concerned with, among other things, board of directors’ behaviour, transparency, business ethics, employee and investor relations, and equitable management. It is also one of the key pillars of the increasingly important area of ESG (environmental, social and corporate governance).
It is becoming clear that directors and managers nowadays have a duty not only towards the companies they manage, but also fiduciary duties towards shareholders and stakeholders. There are several issues that directors and managers need to be mindful of when setting their policies and overall company strategy.

Fenech & Fenech Advocates’ corporate and commercial team has ample expertise in advising shareholders, directors and managers on the various matters that need to be considered in setting up policies that are robust and mindful of the many direct and indirect obligations that companies are expected to address.
